ABOUT SUPEREIF
SUPER ENERGY POWER PLANT INFRASTRUCTURE

SUPEREIF is an infrastructure fund established and managed by BBL Asset Management Co., Ltd. SUPEREIF ’s initial investment was the Right of Net Revenue being generated from 19 solar power plant operations, which total maximum generation capacity accounted for 118 megawatts, of 17 Aunyawee Holding Co., Ltd. (17AYH) and Health Planet Management (Thailand) Co., Ltd. (HPM).

The period of the Net Revenue Transfer Agreement commenced from the Investment Closing Date of the Fund, which was 14 August 2019, to the contract expiry date of each Power Purchase Agreement. 17AYH or HPM entered into a Power Purchase Agreement with Provincial Electricity Authority (PEA) and Metropolitan Electricity Authority (MEA). The remaining period of each Power Purchase Agreement (from 14 August 2019) was approximately 21-22 years. The last Power Purchase Agreement will expire on 26 December 2041.

THE RELATIONSHIP BETWEEN
17AYH & HPM AND SUPER

SUPER is a sponsor of 17AYH and HPM and is an indirect major shareholder of 17AYH and HPM - the owners of the solar power plants that SUPEREIF invested in the Right of Net Revenue. SUPER subscribed for and held at least 20% of the total investment units for a period of 12 years from the Investment Closing Date of the Fund.

FUELING GROWTH WITH
Long-term non-firm power purchase agreements with PEA and MEA for electricity sale
Diversified locations help reduce risks from uncontrollable factors such as severe flooding
Electricity purchasers are reliable and have stable financial position.
The quality of the main equipment used is in accordance with the standard of solar power business.
All 19 solar power plants are located in areas with good solar radiation intensity.
The operations of 19 solar power plants since commercial opening have been well above theoretical estimates.
The operation & maintenance operator and spare part provider have experience and expertise.
Arrangement of quality inspection and appropriate reserve level of machinery and equipment for solar power plants.
Most of the costs in managing the power plants were clearly determined in accordance with related contracts and/or structured as lump-sum expenses to reduce the fluctuation of Net Revenue.
SUPER will maintain a shareholding portion not less than 20% of the total number of investment units issued and offered for the first time until the full term of 12 years from the Investment Closing Date of the Fund.
